Article I
The name of the corporation shall be Gindlesperger Family History Association, Inc. (hereinafter referred to as "the GFHA").
Article II
- The boundaries of the area to be served by the GFHA shall be those of the United States of America.
- The initial registered office of the GFHA shall be Johnstown, PA.
- The period of duration of the GFHA is perpetual.
Article III
The purposes of the GFHA shall be:
- To encourage, carry out, and publish the results of genealogical and historical research of the Gindlespergers, their families, and their
allied or associated families;
- To bring families together into reunions and other gatherings which serve to enhance relationships among the Gindlespergers and allied families;
- To educate and promote the meaning and appreciation of the Gindlespergers' and their families' places in and contributions to their own history
and culture as well as that of the developing and present nation;
- To preserve, maintain, and/or support such properties, cemeteries, organizations, documents, artifacts, and materials and other historic
memorabilia as may be of importance and meaning to the Gindlesperger heritage; and
- To otherwise support and implement those efforts which further the aforementioned purposes of the GFHA.
Article IV
- The GFHA shall be incorporated in the Commonwealth of Pennsylvania under the Nonprofit Corporation Law of 1988, and shall seek exemption in
accordance with Section 501 (c) (3) of the Internal Revenue Code of the United States.
- In furtherance of the aforesaid purposes, the GFHA shall have the independent objectives and powers:
- To enter into, make, and perform contracts of every kind and description;
- To borrow and/or raise monies for any of the purposes of the GFHA;
- To have one or more offices, and to carry on all or any part of the GFHA's business and operations and, without any limitation as to
amount, to purchase or otherwise acquire, hold, own, mortgage, sell, convey, or otherwise dispose of real or personal property of every kind and description; and
- To have and exercise all the powers conferred by the laws of the Commonwealth of Pennsylvania upon a corporation formed pursuant to the
Nonprofit Corporation Law of 1988, as such laws may from time to time be amended.
The above enumeration of specific objectives and powers shall not be construed to limit or restrict in any manner the general powers of the GFHA nor
shall the expression of any purpose, object, or power be deemed to exclue another not so expressed, although it be of like nature.
Article V
The GFHA is authorized to receive conveyances of real and personal property, and to maintain a fund or funds and, subject ot the restrictions and
limitations hereinafter set forth, to use and apply all or any part of the income therefrom and the principal thereof for the purposes hereinabove set forth; provided, however, that no part of such income and
principal shall inure to the benefit of any person.
Article VI
Upon dissolution of the GFHA, the officers shall, after payment of all liabilities, dispose of all the assets of the corporation to such body or
bodies organized and operated exclusively for genealogical research and the education and cultural appreciation of genealogy which are in accordance with Section 501 (c) (3) of the Internal Revenue Code of the
United States.
Article VII
The names and addresses of the five (5) incorporators of the GFHA who are all over the age of 21 and who have subscribed to these Articles of
Incorporation are:
James L. Gindlesperger, Johnstown, PA Norman L. Gindlesperger, Baldwin, NY Julie Matthews Burnette, Germantown, MD
Gerald J. Gindlesberger, Alva, OK Virginia Gage Firks, Fort Wayne, IN
Article VIII
- The incorporators shall serve as the initial Board of Trustees of the GFHA until the first Annual Meeting of the GFHA.
- The following incorporators shall serve as the initial officers of the GFHA until the first Annual Meeting of the GFHA:
Rev. Norman L. Gindlesperger, President Julie Matthews Burnette, Secretary Gerald J. Gindlesberger, Treasurer
- The incorporators, acting as the initial Board of Trustees, may appoint up to three (3) additional persons to serve as Trustee until the first
Annual Meeting of the GFHA.
Article IX
The incorporators with any additional persons serving as the Board of Trustees shall propose By-Laws, not inconsistent with these Articles of
Incorporation, for the governance of the GFHA for adoption by the membership of the GFHA at the first Annual Meeting.
